Consensus Affiliate Program Terms

These Consensus Affiliate Program Terms (“Terms”) form an agreement between Consensus NLP, Inc. (“Consensus,” “Company,” “we,” “us,” or “our”) and the individual or entity participating in the Consensus affiliate program (“Affiliate,” “you,” or “your”).

These Terms govern your participation in the Consensus affiliate program administered through PartnerStack (the “Program”). By applying to, accessing, or participating in the Program—or affirmatively accepting these Terms through PartnerStack—you agree to these Terms.

1. Program participation

Participation is subject to Consensus’s approval and continuing review. We may accept or reject an application in our discretion and may request information about your business, promotional methods, websites, social accounts, audience, or traffic sources.

You must provide accurate, current information and identify every website, domain, application, advertising account, social account, email list, or other property through which you intend to promote Consensus.

Acceptance into the Program does not guarantee continued participation or eligibility for commissions.

2. Non-exclusivity and relationship

The Program is non-exclusive. You and Consensus may work with other parties, including parties offering competing products or services.

You participate as an independent contractor. Nothing in these Terms creates an employment, agency, franchise, partnership, fiduciary, or joint-venture relationship. You have no authority to bind Consensus, make commitments on its behalf, or represent that you are an employee or authorized agent of Consensus.

3. Affiliate links and commission eligibility

Consensus may provide you with unique referral links, promotional codes, or other tracking tools (“Affiliate Links”).

Commission rates, attribution periods, locking periods, payment schedules, and other commercial details will be displayed in PartnerStack or otherwise communicated to you in writing. These details form part of these Terms.

A transaction is eligible for commission only if:

  • it is generated through your authorized Affiliate Link;

  • it involves a genuine new customer acting independently;

  • it is accurately tracked and accepted by Consensus;

  • it is not cancelled, refunded, fraudulent, self-referred, duplicated, or otherwise invalid;

  • it complies with these Terms and any written Program policies; and

  • you remain eligible to participate in the Program.

Consensus may investigate transactions, delay approval during an investigation, and reverse or withhold commissions attributable to prohibited, fraudulent, misleading, or invalid activity. Changes to commission terms or eligibility rules will apply prospectively following notice and will not retroactively alter commissions already validly earned.

4. Approved promotional practices

You must promote Consensus truthfully, professionally, and in a manner that protects users and the reputation of Consensus.

You may use only claims, descriptions, logos, images, and other materials supplied or approved by Consensus. You may not:

  • make false, misleading, deceptive, or unsubstantiated claims;

  • claim that Consensus guarantees academic, medical, scientific, financial, professional, or other outcomes;

  • present Consensus as a substitute for professional advice;

  • misrepresent Consensus’s features, pricing, evidence, affiliations, or capabilities;

  • imply that your content, website, or service is owned, operated, endorsed, or officially sponsored by Consensus unless expressly authorized; or

  • use promotional practices that are unlawful, unethical, intrusive, or likely to damage Consensus’s reputation.

5. Paid advertising and brand bidding

Unless Consensus gives you prior written approval, you may not use paid advertising to promote Consensus or an Affiliate Link. This restriction includes paid search, pay-per-click advertising, paid social media, display advertising, retargeting, native advertising, sponsored listings, and other purchased traffic.

Without limiting the above, you must not bid on, purchase, target, or otherwise use any Consensus Mark as a keyword, search term, audience signal, campaign target, or ad-placement criterion.

“Consensus Marks” include:

  • “Consensus”;

  • “Consensus App” and “Consensus.app”;

  • Consensus product, feature, campaign, and service names;

  • Consensus domain names and URLs;

  • misspellings, variations, translations, abbreviations, and confusingly similar versions of these terms; and

  • any phrase containing or combined with a Consensus Mark, including terms such as “Consensus discount,” “Consensus coupon,” “Consensus promo code,” “Consensus pricing,” “Consensus review,” or “Consensus alternative.”

Affiliates conducting other approved paid-search activity must add the Consensus Marks as negative keywords across all relevant match types where the advertising platform supports negative keywords.

You also may not:

  • place Consensus Marks in ad copy, display URLs, domains, subdomains, account names, page titles, or advertiser names;

  • direct paid traffic to Consensus through an Affiliate Link, redirect, tracking domain, bridge page, or intermediary website;

  • advertise in a manner that competes with, diverts, inflates the cost of, or interferes with Consensus’s own advertising;

  • create ads or landing pages that impersonate Consensus or obscure the advertiser’s identity; or

  • permit an agency, subcontractor, sub-affiliate, publisher, or other third party to engage in prohibited advertising on your behalf.

Written approval for one campaign does not authorize another campaign. Consensus may revoke approval at any time.

6. Prohibited technical and referral practices

You may not:

  • use your Affiliate Link to purchase Consensus for yourself, your organization, or a related party;

  • engage in cookie stuffing, forced clicks, invisible frames, adware, spyware, toolbars, pop-ups, automatic redirects, or similar techniques;

  • overwrite or interfere with another affiliate’s attribution;

  • mask or intentionally obscure referring URLs, sources, campaign data, or device information;

  • manufacture clicks, leads, trials, accounts, or purchases through bots, automation, scripts, click farms, or false identities;

  • offer unauthorized cashback, rewards, rebates, incentives, or discounts;

  • distribute Affiliate Links through unsolicited commercial messages;

  • use typosquatted, misspelled, or confusingly similar domains or social handles;

  • publish unauthorized coupons or imply that a public promotion is exclusive to you;

  • submit Consensus to software, browser extensions, coupon injectors, or similar tools without written approval; or

  • use sub-affiliates or publisher networks without prior written approval and full disclosure of each traffic source.

You are responsible for the actions of anyone promoting Consensus through your account or Affiliate Links.

7. Disclosure and legal compliance

You must comply with all applicable advertising, consumer-protection, privacy, intellectual-property, anti-spam, sanctions, and export-control laws.

You must clearly and conspicuously disclose your financial relationship with Consensus wherever you use an Affiliate Link or endorse Consensus. The disclosure must be close to the endorsement or link and understandable to an ordinary consumer.

Acceptable language may include: “I may earn a commission if you purchase through this link.”

Terms such as “affiliate link,” “collab,” or “commissionable link” may not be sufficient by themselves. You are responsible for complying with FTC guidance and any applicable local requirements.

8. Trademarks and intellectual property

While you remain in good standing, Consensus grants you a limited, revocable, non-exclusive, non-transferable license to use approved Consensus trademarks and materials solely to participate in the Program.

You may not modify Consensus branding, register or use confusingly similar intellectual property, challenge Consensus’s ownership, or use Consensus Marks outside the Program.

All goodwill resulting from use of Consensus Marks belongs exclusively to Consensus. Upon request, suspension, or termination, you must immediately stop using and remove all Consensus Marks and materials.

9. Monitoring, records, and cooperation

Consensus may monitor Program activity and investigate traffic sources, placements, claims, referrals, and transactions.

Upon request, you must promptly provide reasonable documentation concerning your promotional activity, including:

  • websites and landing pages;

  • advertising platforms and account identifiers;

  • campaign names, keywords, search terms, targeting, and negative-keyword lists;

  • traffic-source and referrer reports;

  • screenshots and copies of advertisements;

  • publisher and sub-affiliate lists; and

  • other records reasonably necessary to verify compliance.

You must respond within three business days unless Consensus provides a different deadline. Failure to cooperate may result in suspension or termination.

10. Enforcement

Consensus may temporarily suspend your account, links, commission approvals, or access while investigating suspected violations.

For ordinary remediable violations, Consensus may provide notice and a reasonable opportunity to cure. Consensus may immediately suspend or terminate participation for fraud, brand bidding, impersonation, deceptive practices, technical abuse, repeated violations, material legal risk, or conduct likely to harm Consensus or its users.

If Consensus confirms a violation, it may:

  • require the activity to stop;

  • revoke promotional approval;

  • invalidate transactions attributable to prohibited activity;

  • reverse or withhold associated unearned commissions;

  • suspend or terminate your participation; and

  • pursue other rights available under these Terms or applicable law.

Enforcement decisions will be based on reasonably available evidence. Consensus will not impose new restrictions retroactively on activity that occurred before those restrictions became effective, unless that conduct was independently fraudulent, unlawful, or prohibited by terms already in effect.

11. Term and termination

These Terms remain effective while you participate in the Program.

Either party may terminate participation upon written notice. Consensus may terminate or suspend immediately as described in Section 10.

Following termination:

  • you must stop using Affiliate Links and Consensus Marks;

  • new transactions will not be eligible for commissions;

  • pending commissions remain subject to validation, refund, fraud, and compliance review; and

  • provisions that by their nature should survive—including payment adjustments, intellectual property, confidentiality, indemnification, liability limitations, and dispute provisions—will survive.

12. Changes to these Terms

Consensus may update these Terms by providing notice through PartnerStack, email, or another reasonable electronic method.

Material changes will apply prospectively. You may be required to affirmatively accept updated Terms before continuing in the Program. If you do not agree, your remedy is to stop participating and terminate your Program membership.

13. Confidentiality and data

Non-public information disclosed by Consensus—including performance data, commission structures, campaign plans, customer information, product roadmaps, and security information—is confidential.

You may use confidential information only to participate in the Program and must protect it using reasonable safeguards. You may not collect or process personal information on behalf of Consensus unless separately authorized in writing.

14. Representations and indemnification

You represent that you have the authority to accept these Terms and that your participation will not violate another agreement.

To the extent permitted by law, you will indemnify and hold harmless Consensus and its affiliates, personnel, and service providers from third-party claims, losses, penalties, and reasonable costs arising from your breach of these Terms, unlawful promotional activity, infringement, misuse of personal information, or failure to make required disclosures.

15. Disclaimers and limitation of liability

The Program, PartnerStack tools, Affiliate Links, tracking, and related materials are provided “as is” and “as available.” Consensus does not guarantee uninterrupted tracking, a minimum level of traffic, conversions, commissions, or earnings.

To the fullest extent permitted by law, Consensus will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, data, goodwill, or business opportunities.

Consensus’s aggregate liability arising from the Program will not exceed the commissions paid or payable to you during the twelve months preceding the event giving rise to the claim.

16. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Any dispute arising from these Terms or the Program will be resolved by confidential, binding arbitration before a single arbitrator administered by JAMS, except that either party may seek appropriate relief concerning intellectual-property misuse, fraud, or unauthorized access.

Each party waives the right to a jury trial or participation in a class or representative proceeding to the fullest extent permitted by law.

17. General provisions

You may not assign these Terms without Consensus’s prior written consent. If any provision is unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue in effect.

These Terms, together with the commercial terms displayed in PartnerStack and any written Program policies, constitute the entire agreement concerning participation in the Program.

Electronic acceptance through PartnerStack has the same effect as a handwritten signature.
